Terms of Service

HOWY ("Hang Out With You") is operated by My New DJ LLC ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the HOWY mobile application, the HOWY for Business portal, and our related websites and services (together, the "Services").
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.
1. Who can use HOWY
You must be at least 13 years old to use HOWY. If you are under the age of 18 (or the age of majority where you live), you may only use the Services with the involvement and consent of a parent or legal guardian. By using HOWY you represent that you meet these requirements and that any information you provide is accurate.
2. Your account
You are responsible for the activity that happens on your account and for keeping your login credentials secure. You agree to provide accurate information and to keep it up to date. You may sign in using third-party providers such as Google; your use of those providers is also subject to their terms. Notify us promptly at support@hangoutwithyou.app if you believe your account has been compromised.
3. What HOWY does
HOWY helps people plan real-life hangouts: discover local places and events, see when friends are free, coordinate times and venues, message friends, and get suggestions from our in-app assistant. HOWY is a tool that helps you make plans — we do not host, supervise, or take part in the in-person gatherings that result.
4. Acceptable use
You agree not to:
- Use the Services for any unlawful, harmful, fraudulent, or abusive purpose.
- Harass, threaten, impersonate, stalk, or harm other users.
- Post or share content that is illegal, hateful, obscene, defamatory, or infringes others' rights.
- Spam, scrape, reverse-engineer, overload, or interfere with the Services or their security.
- Access another user's account, or collect or misuse others' personal information.
- Misrepresent your affiliation with any person, business, or venue.
We may remove content, and suspend or terminate accounts, that violate these Terms or that we reasonably believe create risk or harm.
5. Your content
You retain ownership of the content you submit to HOWY (such as event details, messages, photos, reviews, and profile information). You grant My New DJ LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and use that content as needed to operate, improve, and provide the Services. You are responsible for the content you share and represent that you have the rights to share it.
6. Hangouts, meetups, and your safety
HOWY connects people and surfaces places, but we do not vet users, venues, or events, and we are not a party to any plan you make. You are solely responsible for your interactions and your safety. Use good judgment, meet in public when meeting new people, and do not share sensitive personal or financial information with people you don't know. We are not responsible for the conduct of any user or third party, online or in person.
7. Places, events, and third-party information
HOWY surfaces information about local businesses, venues, and events, some of which comes from third-party sources (for example mapping, places, and event providers). We do not guarantee that this information is accurate, complete, current, or available, and listing a business or event is not an endorsement. Your dealings with any business or venue are solely between you and them.
8. HOWY for Business
If you claim or register a business on HOWY, you represent and warrant that you are authorized to act on behalf of that business. We may verify your authorization (for example, by confirming control of the business's website domain) and may approve, decline, or revoke a claim at our discretion. Analytics and other features we provide for claimed businesses are offered on an as-is basis and may change over time.
Any references to future benefits — such as premium placement, sponsored spots, founding-member perks, or pricing — describe our current plans and are not guarantees. Such features, their availability, and their pricing may change or be discontinued, and may be subject to additional terms when they launch.
9. AI features
HOWY includes assistant and recommendation features that use automated systems, including third-party AI services, to suggest times, places, and plans. These outputs are suggestions only, may be inaccurate or incomplete, and should not be relied upon as professional advice. You remain responsible for the plans you choose to make.
10. Third-party services
The Services rely on and integrate with third-party services (such as Google sign-in and calendar, mapping and places providers, messaging and email delivery, and payment processors). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.
11. Intellectual property
The Services, including the HOWY name, logo, software, design, and content we provide, are owned by My New DJ LLC or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, sell, or create derivative works from the Services except as expressly permitted.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY INFORMATION WILL BE ACCURATE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MY NEW DJ LLC AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR ANY HARM RESULTING FROM YOUR INTERACTIONS WITH OTHER USERS, VENUES, OR THIRD PARTIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify and hold harmless My New DJ LLC and its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, or your violation of these Terms or of any law or the rights of a third party.
15. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or to protect the Services or other users. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnification) will survive.
16. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect means you accept the updated Terms.
17. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Texas, and you consent to their jurisdiction, except where prohibited by applicable law.
